Terms of Service

Welcome to Leading Edge Integration. These Terms of Service ("Terms," "Agreement") govern your access to and use of our website, services, and SMS text messaging programs (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. BY USING OUR SERVICES, INCLUDING OPTING IN TO RECEIVE SMS TEXT MESSAGES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.

1. Acceptance of Terms

By accessing our website, engaging our services, or opting in to receive SMS communications from Leading Edge Integration ("LEI," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Services.

These Terms apply to all visitors, users, customers, and others who access or use our Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending email notifications to registered users
  • Sending SMS notifications to users enrolled in our messaging programs

Your continued use of our Services after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

3. SMS Text Messaging Terms

3.1 Program Description

Leading Edge Integration offers SMS text messaging services to communicate with customers and prospects. Our SMS programs may include:

  • Service Notifications: Appointment reminders, service updates, technical support alerts
  • Transactional Messages: Order confirmations, invoice reminders, payment notifications
  • Marketing Messages: Promotional offers, product updates, company news (requires separate opt-in)
  • Customer Support: Two-way SMS communication for support inquiries

3.2 Consent and Authorization

By providing your mobile phone number and opting in to receive SMS messages from us, you:

  • Provide your express written consent to receive automated and non-automated text messages at the mobile number you provided
  • Certify that you are the mobile account holder or have the account holder's permission to opt in
  • Authorize us to contact you via SMS for the purposes described in Section 3.1
  • Acknowledge that consent is not a condition of purchasing any goods or services from us
  • Understand that you may opt out at any time as described in Section 3.6
  • Agree to receive an initial confirmation message upon opt-in

3.3 Message Frequency

Message frequency varies based on the program(s) you've opted into and your account activity. Frequency may include:

  • Service Notifications: As needed based on your service schedule (typically 1-10 messages per month)
  • Transactional Messages: As needed based on your account activity
  • Marketing Messages: Up to 4 messages per month (if opted in to marketing)

3.4 Message and Data Rates

Standard message and data rates may apply according to your mobile service plan. We do not charge fees for SMS messages, but your wireless carrier may charge you for receiving text messages. Check with your carrier for details about your messaging plan and any associated fees.

3.5 Supported Carriers

Our SMS services are supported by major U.S. wireless carriers including:

  • AT&T
  • Verizon Wireless
  • T-Mobile
  • Sprint
  • Boost Mobile
  • Cricket Wireless
  • U.S. Cellular
  • And other major carriers

Service availability and message delivery may vary by carrier and location. We are not responsible for carrier-related delays or failures in message delivery.

3.6 How to Opt Out

You may opt out of receiving SMS messages at any time by using any of the following methods:

  • Reply "STOP," "END," "CANCEL," "UNSUBSCRIBE," or "QUIT" to any text message from us
  • Call us at 740-779-3343 and request to be removed from our SMS list
  • Email us at the contact address provided in Section 15
  • Follow the unsubscribe instructions in any SMS message

After you opt out, you will receive one final confirmation message acknowledging your opt-out request. You may opt back in at any time by texting "START" or following our opt-in procedures.

3.7 Help and Customer Support

For help with our SMS program, you may:

  • Reply "HELP" to any text message to receive assistance
  • Call us at 740-779-3343 during business hours
  • Email us at the contact address in Section 15

3.8 TCPA Compliance

We comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal and state laws regarding SMS communications. We maintain detailed records of all opt-in consents and opt-out requests for a minimum of 4 years as required by law.

Key TCPA compliance provisions:

  • We obtain express written consent before sending automated marketing messages
  • We provide clear and conspicuous opt-out mechanisms
  • We honor opt-out requests promptly (within 24-48 hours)
  • We maintain do-not-contact lists
  • We do not share your mobile number for third-party marketing without your consent
  • We send messages only during reasonable hours (8 AM - 9 PM in your time zone)

3.9 Message Content and Accuracy

While we strive to provide accurate and timely information via SMS, we do not guarantee the accuracy, completeness, or timeliness of messages. You should not rely solely on SMS messages for critical decisions without verification through other channels.

3.10 Mobile Device Requirements

To receive SMS messages, you must have:

  • A mobile device capable of receiving SMS text messages
  • An active mobile service plan with a participating carrier
  • Sufficient account balance or plan allowance for text messaging

4. Use of Services

4.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

4.2 Account Responsibilities

If you create an account with us, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring the accuracy of information you provide

4.3 Prohibited Uses

You agree not to use our Services to:

  • Violate any laws, regulations, or third-party rights
  • Transmit spam, viruses, malware, or harmful code
  • Harass, abuse, or harm others
  • Impersonate any person or entity
  • Interfere with or disrupt our Services or servers
  • Attempt to gain unauthorized access to our systems
  • Use automated means to access our Services without permission
  • Collect or harvest information about other users
  • Engage in fraudulent activities

5. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and compilation thereof, are owned by Leading Edge Integration or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose. This license does not include:

  • Any resale or commercial use of our Services or content
  • Any derivative use of our Services or content
  • Any downloading or copying of information for the benefit of third parties
  • Any use of data mining, robots, or similar data gathering tools

5.3 Trademarks

"Leading Edge Integration" and related logos are trademarks of Leading Edge Integration. You may not use these trademarks without our prior written permission.

6. User Content

6.1 Your Responsibility

You are solely responsible for any content you submit, upload, or transmit through our Services, including SMS messages you send to us.

6.2 License Grant

By submitting content to us, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our Services.

6.3 Prohibited Content

You agree not to submit content that:

  • Is illegal, harmful, or offensive
  • Infringes on intellectual property rights
  • Contains personal information of others without consent
  • Is false, misleading, or deceptive

7. Service Agreements and Professional Services

7.1 Professional Services

Our technology consulting and system integration services are provided under separate written agreements. These Terms supplement, but do not replace, any professional services agreements.

7.2 Service Standards

We strive to provide high-quality services and maintain professional standards. However, results may vary based on factors beyond our control, including existing infrastructure, third-party systems, and client cooperation.

7.3 Client Responsibilities

For professional services engagements, clients are responsible for:

  • Providing accurate and complete information
  • Granting necessary access to systems and facilities
  • Making timely decisions and approvals
  • Maintaining appropriate backup systems
  • Complying with our recommendations and instructions

8. Payment Terms

8.1 Fees and Charges

Fees for our services are as specified in your service agreement or quote. All fees are in U.S. dollars unless otherwise stated.

8.2 Payment

Payment is due according to the terms specified in your invoice or service agreement. We accept payment by check, credit card, ACH transfer, or other methods as agreed.

8.3 Late Payment

Late payments may be subject to interest charges of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less.

8.4 Taxes

Fees do not include applicable sales, use, or other taxes. You are responsible for all taxes associated with our services, except taxes based on our income.

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that we will perform our services with reasonable care and skill consistent with industry standards.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 9.1, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • Our Services will be uninterrupted, timely, secure, or error-free
  • Results obtained from using our Services will be accurate or reliable
  • Defects will be corrected
  • SMS messages will be delivered successfully or in a timely manner

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADING EDGE INTEGRATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Leading Edge Integration, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or communications

12. Term and Termination

12.1 Term

These Terms remain in effect while you use our Services.

12.2 Termination by You

You may stop using our Services and opt out of SMS messaging at any time as described in Section 3.6.

12.3 Termination by Us

We may suspend or terminate your access to our Services at any time, with or without cause, including if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Required by law or regulatory authority
  • We discontinue the Services

12.4 Effects of Termination

Upon termination:

  • Your right to use our Services immediately ceases
  • We may delete your account and content
  • You remain liable for all fees and charges incurred before termination
  • Sections that by their nature should survive termination will survive

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of law principles.

13.2 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. We will do the same.

13.3 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Ross County, Ohio, and you consent to the personal jurisdiction of such courts.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and us regarding our Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or telecommunications failures.

14.6 Notice

We may provide notices to you via email, SMS, or by posting on our website. Notices to us should be sent to the address in Section 15.

These documents together constitute a legally binding agreement between you and Leading Edge Integration.

SMS Consent: By providing your mobile phone number and opting in, you expressly consent to receive automated text messages from Leading Edge Integration as described in Section 3 of these Terms and in our Privacy Policy, in compliance with the Telephone Consumer Protection Act (TCPA) and all applicable regulations.
